These Terms and Conditions ("Terms") govern your use of the GigSwap mobile application ("App," "Service," or "Platform") operated by GigSwap ("we," "us," or "our"). By downloading, accessing, or using our App, you agree to be bound by these Terms.

1. ACCEPTANCE OF TERMS

By creating an account or using GigSwap, you acknowledge that:

  • You have read, understood, and agree to these Terms
  • You are at least 18 years of age
  • You have the legal capacity to enter into this agreement
  • You will comply with all applicable laws and regulations

If you do not agree to these Terms, you must not use our Service.

2. DESCRIPTION OF SERVICE

2.1 Platform Purpose

GigSwap is a networking platform designed to connect:

  • DJs with other DJs for collaboration, mentorship, and professional networking
  • DJs with clubs for booking and event opportunities
  • Clubs with DJs for event staffing and entertainment services

2.2 Core Features

Our platform provides:

  • Profile Creation: Create detailed professional profiles with photos, bios, press kits, and social media links
  • Location-Based Discovery: Find nearby DJs and clubs using GPS location services
  • Matching System: Swipe-based system for sending connection requests between users
  • Real-Time Messaging: Chat functionality for direct communication between connected users
  • Event Management: Clubs can post events and DJs can apply for opportunities
  • Review System: Rate and review other users after collaborations or bookings
  • Verification Services: Optional identity verification through Stripe Identity
  • Subscription Tiers: Various subscription levels with enhanced features

2.3 Platform Disclaimer

IMPORTANT: GigSwap is a networking and connection platform only. We:

  • Do NOT guarantee, endorse, or participate in any agreements made between users
  • Do NOT verify the accuracy of user-provided information beyond optional identity verification
  • Are NOT responsible for the quality, safety, or legality of services provided by users
  • Do NOT handle booking payments, contracts, or dispute resolution between users

ALL arrangements, negotiations, and agreements are strictly between the parties involved

3. USER ACCOUNTS AND ELIGIBILITY

3.1 Account Creation

To use our Service, you must:

  • Be at least 18 years of age
  • Provide accurate and complete information during registration
  • Maintain the security of your account credentials
  • Choose either a DJ or Club account type (cannot have both simultaneously)

3.2 Account Types

DJ Accounts:

  • Individual professional DJs
  • Music producers and artists
  • DJ collectives and partnerships
  • Required information: Name, location, music genres, bio

Club Accounts:

  • Nightclubs and entertainment venues
  • Event promoters and booking agencies
  • Music festivals and event organizers
  • Required information: Venue name, location, contact information

3.3 Account Verification

  • Optional Verification: DJs may undergo identity verification through Stripe Identity to get a verified badge
  • Verification Process: Requires government-issued ID and selfie verification
  • Verified Badge: Successfully verified accounts receive a verified badge
  • Benefits: Verified accounts may receive enhanced visibility and access to premium features

3.4 Account Responsibilities

You are responsible for:

  • All activity that occurs under your account
  • Maintaining the confidentiality of your login credentials
  • Notifying us immediately of any unauthorized use
  • Ensuring all information provided is accurate and up-to-date

4. SUBSCRIPTION PLANS AND PAYMENTS

4.1 Subscription Tiers

For DJs:

  • Free Plan: Limited swipes per day (1), limited active conversations (1), basic features
  • Pro Plan Tier 1: Unlimited swipes, access to clubs, increased conversations (2)
  • Pro Plan Tier 2: All Tier 1 features plus profile view visibility, more conversations (5)
  • Pro Plan Tier 3: All previous features plus verified badge access, more conversations (10)
  • Ultimate Plan: All features unlocked, unlimited conversations, priority support

For Clubs:

  • Club Plan: Full access to platform features for venue accounts

4.2 Payment Processing

  • In-App Purchases: Processed through Apple App Store or Google Play Store
  • Billing: Handled according to your chosen app store's billing policies
  • Currency: Prices displayed in your local currency as determined by your app store

4.3 Subscription Terms

  • Auto-Renewal: Subscriptions automatically renew unless cancelled
  • Cancellation: Cancel through your app store account settings
  • Refunds: Refund policies are governed by Apple App Store or Google Play Store terms
  • Price Changes: We may change subscription prices with 30 days' notice
  • Feature Changes: Subscription features may be modified or discontinued with notice

4.4 Free Trial and Promotional Offers

  • Trial Periods: May be offered for premium subscriptions
  • Promotional Pricing: Special offers may be available for limited times
  • Eligibility: Trial and promotional offers may have eligibility restrictions
  • Auto-Conversion: Trials automatically convert to paid subscriptions unless cancelled

5. USER CONTENT AND CONDUCT

5.1 User-Generated Content

You may upload and share:

  • Profile Information: Photos, bios, professional information
  • Press Kits: PDF documents showcasing your work (DJs only)
  • Messages: Text communications with other users
  • Reviews: Ratings and comments about other users
  • Event Information: Details about events and opportunities (Clubs only)

5.2 Content Ownership and Rights

  • Your Content: You retain ownership of content you upload
  • License to Us: You grant us a worldwide, non-exclusive license to use, display, and distribute your content within the platform
  • Responsibility: You are solely responsible for all content you post
  • Copyright: You must own or have rights to all content you upload

5.3 Content Standards

All content must:

  • Be accurate and truthful
  • Not infringe on intellectual property rights
  • Not contain illegal, harmful, or offensive material
  • Be relevant to professional DJ/club networking
  • Comply with applicable laws and regulations

5.4 Prohibited Content

You may not post content that:

  • Contains nudity, sexual content, or adult material
  • Promotes violence, hate speech, or discrimination
  • Includes spam, advertising for other services, or promotional material
  • Contains malware, viruses, or harmful code
  • Violates privacy rights of others
  • Includes false or misleading information
  • Promotes illegal activities or substances

5.5 User Conduct Rules

You agree to:

  • Respect Others: Treat all users with professionalism and courtesy
  • Honest Communication: Provide accurate information about your skills and availability
  • Professional Networking: Use the platform for legitimate business purposes only
  • Privacy Respect: Not share private conversations or personal information of other users
  • Compliance: Follow all platform rules and applicable laws

5.6 Prohibited Activities

You may not:

  • Harassment: Engage in harassment, bullying, or intimidation
  • Spam: Send unsolicited messages or promotional content
  • Impersonation: Pretend to be another person or entity
  • Data Collection: Scrape or collect user data from the platform
  • Multiple Accounts: Create multiple accounts to circumvent platform rules
  • Commercial Misuse: Use the platform for unauthorized commercial activities
  • System Interference: Attempt to hack, reverse engineer, or disrupt the service

6. LOCATION SERVICES AND PRIVACY

6.1 Location Data Usage

  • Core Functionality: Location services are essential for matching nearby users
  • Permissions Required: You must grant location access for full platform functionality
  • Data Collection: We collect and store your GPS coordinates
  • Visibility: Your city and country are visible to other users; exact coordinates are not shared
  • Background Access: We may request background location access for enhanced features

6.2 Location Data Management

  • Accuracy: We rely on your device's location services for accuracy
  • Updates: Location is updated when you use the app
  • Control: You can disable location services, but this will limit platform functionality
  • Retention: Location data is retained as described in our Privacy Policy

7. MESSAGING AND COMMUNICATION

7.1 Chat System

  • Direct Messaging: Send text messages to connected users
  • Message Limits: Free users have limited active conversations
  • Message Storage: All messages are stored on our servers
  • No Encryption: Messages are not end-to-end encrypted
  • Monitoring: We may monitor messages for policy violations

7.2 Communication Guidelines

  • Professional Use: Keep conversations relevant to DJ/club networking
  • Respectful Tone: Maintain professional and courteous communication
  • No Harassment: Harassment or inappropriate behavior will result in account suspension
  • Privacy: Do not share personal contact information in initial messages
  • Reporting: Report inappropriate messages or behavior immediately

7.3 Message Retention

  • Storage Duration: Messages are stored indefinitely while accounts remain active
  • Deletion: Messages are deleted when accounts are terminated
  • Backup: Messages may be backed up for service reliability

8. REVIEWS AND RATINGS

8.1 Review System

  • Purpose: Rate and review users after collaborations or interactions
  • Eligibility: Reviews can only be left after significant interaction (minimum message threshold)
  • Authenticity: Reviews must be based on actual experiences
  • Guidelines: Reviews should be honest, constructive, and professional

8.2 Review Standards

Reviews must:

  • Be based on actual professional interactions
  • Focus on professional conduct and service quality
  • Be honest and factual
  • Avoid personal attacks or inappropriate content
  • Comply with our community guidelines

8.3 Review Moderation

  • Monitoring: We monitor reviews for policy violations
  • Removal: We may remove reviews that violate our standards
  • Disputes: Review disputes will be investigated on a case-by-case basis
  • No Guarantee: We do not guarantee the accuracy of user reviews

9. FILE UPLOADS AND STORAGE

9.1 Supported File Types

  • Profile Pictures: PNG, JPEG, WebP formats (max 5MB)
  • Press Kits: PDF documents (max 10MB)
  • Banner Images: PNG, JPEG, WebP formats (max 5MB)

9.2 File Storage Terms

  • Storage Provider: Files are stored using Supabase storage services
  • Access: Files are accessible through secure, signed URLs
  • Retention: Files are retained while your account is active
  • Deletion: Files are deleted when you remove them or terminate your account

9.3 File Content Rules

Uploaded files must:

  • Be relevant to your professional profile
  • Not contain copyrighted material without permission
  • Not include inappropriate or offensive content
  • Be authentic representations of your work
  • Comply with file size and format restrictions

10. INTELLECTUAL PROPERTY

10.1 Our Intellectual Property

  • Platform Ownership: We own all rights to the GigSwap platform, including software, design, and trademarks
  • License to Use: We grant you a limited, non-exclusive license to use our platform
  • Restrictions: You may not copy, modify, or distribute our platform technology
  • Trademarks: "GigSwap" and related marks are our intellectual property

10.2 User Content Rights

  • Ownership: You retain ownership of content you create and upload
  • Platform License: You grant us rights to display and distribute your content within the platform
  • Third-Party Rights: You must respect intellectual property rights of others
  • Copyright Claims: We respond to valid copyright infringement claims

10.3 Copyright Infringement

  • DMCA Compliance: We comply with the Digital Millennium Copyright Act
  • Reporting: Report copyright infringement to our designated agent
  • Removal: We will remove infringing content upon valid notice
  • Repeat Offenders: Accounts with repeated infringement may be terminated

11. PLATFORM AVAILABILITY AND MODIFICATIONS

11.1 Service Availability

  • Best Effort: We strive to maintain platform availability 24/7
  • No Guarantee: We do not guarantee uninterrupted service
  • Maintenance: Scheduled maintenance may temporarily interrupt service
  • Outages: Service interruptions may occur due to technical issues

11.2 Platform Modifications

  • Updates: We may update the platform to add features or fix issues
  • Feature Changes: Features may be modified, discontinued, or added
  • Notice: We will provide reasonable notice for significant changes
  • Compatibility: Updates may require app store updates on your device

11.3 Third-Party Dependencies

Our service relies on:

  • Supabase: Database and authentication services
  • Stripe: Payment processing and identity verification
  • Firebase: Push notifications and analytics
  • App Stores: Apple App Store and Google Play Store distribution

13. ACCOUNT TERMINATION

  • Account Deletion: Users may delete their accounts at any time
  • Process: Account deletion can be initiated through app settings
  • Data Deletion: User data will be deleted as described in our Privacy Policy

13.2 Termination by GigSwap

We may terminate accounts for:

  • Terms Violations: Violation of these Terms or community guidelines
  • Illegal Activity: Engaging in illegal activities on the platform
  • Abuse: Harassment, spam, or abuse of other users
  • Fraud: Fraudulent activity or misrepresentation
  • Inactivity: Extended periods of account inactivity

13.3 Effects of Termination

Upon termination:

  • Access Revoked: All access to the platform is immediately revoked
  • Data Deletion: User data is deleted according to our retention policy
  • Subscription Cancellation: Active subscriptions are cancelled (refunds subject to app store policies)
  • Content Removal: All user-generated content is removed from the platform

14. DISCLAIMERS AND LIMITATIONS

14.1 Platform Disclaimers

  • "As Is" Service: The platform is provided "as is" without warranties
  • No Guarantees: We do not guarantee matches, bookings, or successful collaborations
  • User Verification: We do not verify all user information (except optional identity verification)
  • Third-Party Actions: We are not responsible for actions of other users
  • Service Interruptions: We are not liable for service outages or technical issues

14.2 User Interaction Disclaimer

  • Independent Relationships: All user interactions are independent of GigSwap
  • No Mediation: We do not mediate disputes between users
  • Safety: Users are responsible for their own safety when meeting in person
  • Contracts: We are not party to agreements made between users
  • Payment Disputes: We do not handle payment disputes between users

14.3 Limitation of Liability

To the maximum extent permitted by law:

  • No Liability: We are not liable for indirect, incidental, or consequential damages
  • Damage Cap: Our total liability is limited to the amount paid for subscriptions in the past 12 months
  • User Responsibility: Users assume responsibility for their use of the platform
  • Third-Party Claims: We are not liable for claims arising from user interactions

15. INDEMNIFICATION

You agree to indemnify and hold harmless GigSwap, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the platform
  • Your violation of these Terms
  • Your violation of applicable laws
  • Your interactions with other users
  • Content you post or share
  • Infringement of intellectual property rights

16. DISPUTE RESOLUTION
